General Terms of Sale and Use
Thank you for using Wanaut!
These Conditions of Service for users (the "Conditions") are a legally binding agreement between you and Wanaut that governs your use of Wanaut websites, applications, and other offerings (collectively, the "Wanaut Platform"). When used in these Conditions, the terms "Wanaut", "we", "our", and "us" refer to the Wanaut entity mentioned in Annex 1 with which you enter into a contract.
The Wanaut Platform provides an online space for users ("Members") to publish, offer, search for, and book services. Members who publish and offer services are "Professionals", and members who search for, book, or use services are "Individuals". Professionals offer activities ("activities"), excursions and events, as well as a variety of services. You must create an account to access and use many features of the Wanaut Platform. You must also ensure that your account information remains accurate. As provider of the Wanaut Platform, Wanaut does not own, control, offer, or manage listings or Professional Services. Wanaut is not party to contracts entered into directly between Professionals and Individuals. Wanaut does not act as agent for any Member, except as provided in the Conditions of Service relating to payments ("Payment Conditions"). To learn more about Wanaut's role, see Article 16. We apply other Conditions and Policies supplementary to these Conditions, such as our Privacy Policy, which describes how we collect and use personal data governed by Law 09-08 on the protection of natural persons with regard to the processing of personal data, and our Payment Conditions, which govern all payment services provided to Members by Wanaut payment entities (NAPS). If you are a Professional, you must understand and comply with all laws, rules, regulations, and third-party contracts that apply to your listing or Professional Services.
1. Our mission.
Our mission is to offer a sharing space where passions drive participation, to create social connection through unique experiences, and to broaden horizons through inspiring sports, cultural, and tourism experiences.
2. Search and booking on Wanaut.
2.1 Search.
You can search for Professional Services using criteria such as activity type, activity category, activity dates, and activity location. You can also use filters to refine your search results. Search results are based on their relevance to your search and on other criteria. Relevance takes into account factors such as price and availability. To learn more about search results, visit our Help Centre.
2.2 Booking.
When you book an Activity, you agree to pay all fees related to your booking, including the listed price, applicable fees such as Wanaut service fees, in-person fees, taxes, and any other amount identified at checkout (collectively, the "Total Price"). You also agree that NAPS may charge and collect any identified deposit at checkout. When you receive a booking confirmation, a Professional Service contract, referred to as a booking in these Conditions, is formed directly between you and the Professional. Cancellation terms and all other rules, standards, policies, or requirements identified in the listing or at checkout are part of your contract with the Professional. Be aware that some Professionals work with a co-Professional or as part of a team to deliver their Services.
2.3 Booking Professional Services.
A booking for a Professional Service allows you to participate in, attend, or use that Professional Service. It is your responsibility to confirm that you, and anyone you invite, meet all minimum age, skill, fitness, or other requirements. You are responsible for informing the Professional about your health condition or physical limitation, or any other circumstance that may affect your ability to participate in, attend, or use the Professional Service. Unless expressly authorized, you may not allow anyone to join a Professional Service unless that person was included as an additional participant during the booking process.
3. Cancellations, refunds, and booking changes.
3.1 Cancellations and refunds.
As a general rule, if you cancel a booking, the refunded amount is determined by the cancellation terms applicable to that booking. However, in some situations, other terms take precedence and determine the refunded amount. If the Professional cancels, you may be eligible for assistance with rebooking, or for a partial or full refund under the Refund Policy. Different policies apply to certain categories of Listings. See each policy for more details on what is covered and the refund applicable in each situation. You may appeal a Wanaut decision by contacting our customer service.
3.2 Booking changes.
Professionals and Individuals are responsible for any booking change they agree to make through the Wanaut Platform, or ask Wanaut customer service to make on their behalf ("booking changes"), and agree to pay any additional amount, fee, or tax associated with any booking change.
4. Your responsibilities.
You are responsible for your own acts and omissions and also for the acts and omissions of any person you invite to join you (or to whom you provide access) regarding an activity. For example: (i) you must act with integrity, treat others with respect, and comply with applicable laws at all times. If you book for an additional Individual who is a minor, or bring a minor to a Professional Service, you must be legally authorized to act on behalf of the minor and are solely responsible for supervising that minor. Conditions relating to Professionals
5. Your duties toward Individuals on Wanaut.
5.1 Professional.
As a Professional, Wanaut allows you to share your experience or other Professional Service with our community of Individuals, and to earn money doing so. Creating a Listing is very easy. You control how your activities are delivered to Individuals, and you set your own prices, availability, and rules for each Listing.
5.2 Contract with Individuals.
When you receive a booking confirmation on the Wanaut Platform, you enter into a contract directly with the Individual and are responsible for delivering the Professional Service according to the terms and at the price stated in your Listing. You also agree to pay applicable fees such as Wanaut service fees (and applicable taxes) for each booking. Wanaut will deduct the amounts due from your payout, unless you and we agree on another method. All terms or conditions you include in an additional contract with Individuals must: (i) be compliant with these Conditions, our Policies, and the information provided in your Listing, and (ii) be clearly disclosed in your Listing description.
5.3 Independence of Professionals.
Your relationship with Wanaut is that of an independent entity or individual and not an employee, agent, joint venture partner, or business partner of Wanaut, except that Wanaut acts as a payment collection agent as described in the Payment Conditions. Wanaut does not direct or control your Professional Services. You understand that you have full discretion to decide whether and when you wish to provide Professional Services, and at what price and under what conditions to offer them.
6. Managing your Listing.
6.1 Creating and managing your Listing.
The Wanaut Platform provides tools that allow you to easily set up and manage a Listing. Your Listing must include complete and accurate information about your Professional Service, your price, any additional fees, and all requirements that apply to Individuals or your Listing. You are responsible for your own acts and omissions, as well as for keeping the information in your Listing (including calendar availability dates) and its content (such as photos) up to date and accurate at all times. We recommend that you take out appropriate insurance for your Professional Services.
6.2 Understanding your legal obligations.
You must understand and comply with all laws, rules, regulations, and third-party contracts that apply to your Listing or Professional Services. Check national and local regulations to learn the rules that apply to the Professional Services you plan to offer. Information we provide regarding legal requirements is for information purposes only. You must verify your obligations independently. You are responsible for the processing and use of the personal data of Individuals and other persons in compliance with personal data protection laws governed by Law 09-08 and these Conditions, including our privacy rules that apply to Professionals. If you have questions about how local legislation applies, you should always consult a legal adviser such as a lawyer.
6.3 Ranking in search results.
Listing ranking in Wanaut search results depends on several factors, mainly the following:
Listing characteristics (for example, price, calendar availability, number and quality of images, reviews, type of Professional Service, Professional status, listing age); Individual booking experience (for example, cancellation history and use of customer service, ease of booking). Search results may appear differently on our mobile application and on our website. Wanaut may allow Professionals to promote their Listings in search results or elsewhere on the Wanaut Platform for an additional fee. You will find more information about the factors that determine the ranking of your Listing in search results, our current promotion programs (if any), and how we identify promoted content in our Help Centre.
6.4 Your responsibilities.
You are responsible for your own acts and omissions and also for the acts and omissions of anyone you authorize to participate in delivering your Professional Services. You are responsible for pricing and for the rules and requirements of your Listing. You must describe all fees and charges in the description of your Listing, but you may not collect additional fees or charges outside the Wanaut Platform, except those expressly authorized by our Policy governing in-person fees. Do not encourage Individuals to create third-party accounts, submit reviews, provide their contact details, or take other actions outside the Wanaut Platform, in violation of our Wanaut Off-Platform Use Policy.
7. Cancellations and booking changes.
7.1 Cancellations.
In general, if an Individual cancels a booking, the amount paid to you is determined by the cancellation terms applicable to that booking. As a Professional, you should not cancel an Individual's booking without a valid reason under our Force Majeure Policy or applicable law. If you cancel an Individual's booking without such a valid reason, we may impose cancellation fees and other consequences.
7.2 Booking changes.
Professionals and Individuals are responsible for any booking change they agree to make on the Wanaut Platform or ask Wanaut customer service to make on their behalf, and agree to pay any additional amount, fee, or tax associated with a booking change.
8. Taxes.
8.1 Professional taxes.
As a Professional, you are responsible for determining and fulfilling your obligations under applicable laws to report, collect, remit, or include in your price any VAT or other indirect taxes, income tax, or any other applicable taxes.
8.2 Tax information.
Tax regulations may require us to collect and/or report tax information about you, withhold taxes from your payouts, or both. If you do not provide documents we consider sufficient to justify such an obligation to withhold taxes on payouts owed to you, we may withhold payouts up to the amount required by law, until sufficient documents are provided. You agree that Wanaut may issue on your behalf invoices or similar documents for VAT, any goods and services tax, any consumption tax, or other taxes relating to your Professional Services so that our Individuals and their businesses can make accurate tax filings.
General conditions of application
9. Reviews.
After each Professional Service, Individuals and Professionals have the opportunity to leave each other a review. Your review must be accurate and must not contain any discriminatory, offensive, defamatory, or other content that violates our Content Rules or our Review Policy. Reviews are not verified by Wanaut and may be unfounded or misleading.
10. Content.
Certain parts of the Wanaut Platform allow you to provide reviews, text, photos, audio, video, information, and other content ("Content"). By providing Content, in any form and by any means, you grant Wanaut, from the moment you create or publish such Content and for the duration of protection of the rights assigned, a non-exclusive, worldwide, royalty-free, sublicensable, and transferable licence to access, use, store, reproduce, modify, create derivative works from, distribute, publish, transmit, broadcast, and otherwise exploit such Member Content in order to provide and/or promote the Wanaut Platform on any medium, known or not yet known, and in particular on the Internet and on social media. If the Content includes personal information, such Content will only be used for these purposes if such use complies with applicable data protection laws in accordance with our Privacy Policy. When Wanaut pays for the creation of Content or facilitates its creation, Wanaut may own such Content, in which case additional terms will specify this. You are solely responsible for all Content you provide and warrant that you own it or are authorized to grant Wanaut the rights described in these Conditions. You are responsible if any of your Content infringes the intellectual property or privacy rights of a third party. Content must comply with our Content Rules and our Non-Discrimination Policy, which prohibit, among other things, discriminatory, obscene, harassing, misleading, violent, and illegal content. You agree that Wanaut may make available services or automated tools to translate Content and that your Content may be translated using such services or tools. Wanaut does not guarantee the accuracy or quality of such translations, and it is the responsibility of Members to verify their accuracy.
11. Fees.
Wanaut may charge fees (and applicable taxes) to Professionals and Individuals for the use of the Wanaut Platform. To learn more about applicable service fees and how they are calculated, visit our service fees page. Unless otherwise stated on the Wanaut Platform, service fees are non-refundable. Wanaut reserves the right to modify service fees at any time, and will notify Members of any fee changes before they take effect. Such fee changes will not affect bookings made prior to the effective date of the modified fees. If you disagree with a fee change, you may terminate this contract at any time in accordance with Article 13.2.
12. Wanaut Platform rules.
12.1 Rules.
You must comply with these rules and must not help or encourage others to violate or circumvent them. Act with integrity and treat others with respect. Do not lie, misrepresent something or someone, or pretend to be someone else. Be polite and respectful when communicating or interacting with others. Comply with our Non-Discrimination Policy and do not discriminate against or harass others. Do not damage, hack, reverse engineer, compromise, or alter the Wanaut Platform. Do not use bots, crawlers, scrapers, or other automated means to access or retrieve data or other Content on the Wanaut Platform or to interact with it. Do not hack, bypass, remove, alter, or attempt to circumvent any security or technological measure used to protect the Wanaut Platform or Wanaut Content. Do not decipher, decompile, disassemble, or reverse engineer any software or hardware used to provide the Wanaut Platform. Do not take any action that could disrupt or harm the performance or proper functioning of the Wanaut Platform. Do not use the Wanaut Platform outside the scope of these Conditions or any other agreement established with Wanaut. You may only use the personal information of another Member to the extent necessary to facilitate a transaction using the Wanaut Platform, as authorized by these Conditions. Do not use the Wanaut Platform or Members' personal information to send commercial messages without the explicit consent of the recipient. Use Content made available on the Wanaut Platform only if necessary to enable you to use the Wanaut Platform as an Individual or Professional. Do not use Content unless you have the permission of the Content owner or unless the use is authorized by us in these Conditions or in another agreement you have established with Wanaut. Do not request, make, or accept a Booking or Payment outside the Wanaut Platform in order to avoid paying fees, taxes, or for any other reason. Refer to our policy governing in-person fees for exceptions.
Do not require or encourage Individuals to open an account, leave a review, or otherwise interact with a third-party website, application, or service before, during, or after a booking, unless authorized by Wanaut. Do not attempt to manipulate our search algorithm. Do not book Professional Services unless you actually intend to use those services. Do not use, copy, display, or frame the Wanaut Platform, any Content, any Wanaut trademark, or any layout or design without our consent. Comply with your legal obligations. Understand and comply with the laws that apply to you, including privacy, data protection, and export laws. If you provide us with the personal information of another person: (i) you must do so in compliance with applicable law, (ii) you must be authorized to do so, and (iii) you authorize us to process such information in accordance with our Privacy Policy. Read and comply with these Conditions as well as our Policies and Standards. Do not use the Wanaut name, logo, trademark, or registered trademarks or those of others without authorization. Do not use or register a domain name, social media identifier, trade name, trademark, logo, or any other source identifier that could be confused with the Wanaut brand. Do not offer Professional Services that violate the laws or contracts that apply to you. Do not offer or solicit prostitution services, or participate in or facilitate human trafficking.
12.2 Reporting a violation.
If you believe that a Member, a Listing, or Content presents an imminent risk, you must immediately contact the local authorities before contacting Wanaut. Furthermore, if you believe that a Member, a Listing, or Content constitutes a breach of our Standards, you must report your concerns to Wanaut. If you have reported a problem to local authorities, Wanaut may request a copy of that report. Unless required by law, we are not obligated to take action in response to a report.
12.3 Copyright notices.
If you believe that Content on the Wanaut Platform infringes copyright, please notify us in accordance with our Copyright Policy.
13. Termination, suspension, and other measures.
13.1 Term.
The contract between you and Wanaut reflected by these Conditions remains in effect until you or we terminate it in accordance with these Conditions.
13.2 Termination.
You may terminate this contract at any time by sending us an email or by deleting your account. Wanaut may terminate this contract for any reason by giving you 30 days' notice by email or by using any other contact details you have provided for your account. Wanaut may also terminate this contract immediately and without notice and cease providing access to the Wanaut Platform if (i) you materially violate these Conditions or our Policies, (ii) you violate applicable laws, or (iii) such action is necessary to protect the personal safety or property of Wanaut, its Members, or third parties (for example, in the case of fraudulent behaviour by a Member), or (iv) your account has been inactive for more than three years.
13.3 Member violations.
If (i) you violate these Conditions, our Policies, or our Standards, (ii) you violate applicable laws, regulations, or third-party rights, (iii) you have repeatedly received poor reviews or Wanaut has become aware of or received complaints about your performance or conduct, (iv) you have repeatedly cancelled confirmed bookings or have not responded to booking requests without a valid reason, or (v) such action is necessary to protect the personal safety or property of Wanaut, its Members, or third parties, Wanaut may: suspend or limit your access to the Wanaut Platform and/or your account, or its use; suspend or remove Listings, reviews, or other Content; cancel pending or confirmed bookings; or suspend or revoke any special status associated with your account. In the case of minor violations or where appropriate, you will be notified of any action contemplated by Wanaut and will have the opportunity to remedy the problem, unless such notification (i) would prevent or hinder the detection or prevention of the fraud or other illegal activities in question, (ii) would harm the legitimate interests of other Members or third parties, or (iii) would violate applicable laws.
13.4 Legal mandates.
Wanaut may take any measure it considers reasonably necessary to comply with applicable law, or with a decision of a court or any other duly authorized judicial, administrative, or law enforcement authority, including the measures described above in Article 13.3.
13.5 Effect of termination.
If you are a Professional and terminate your Wanaut account, all confirmed bookings will be automatically cancelled and your Individuals will receive a full refund. If you delete your Wanaut account as an Individual, all confirmed bookings will be automatically cancelled and any refund will depend on the cancellation terms of the Listing. Upon termination of this contract, you are not entitled to a restoration of your account or your Content. If your access to or use of the Wanaut Platform has been limited, if your Wanaut account has been suspended, or if this contract has been terminated by us, you may not register a new account or access or use the Wanaut Platform through the account of another Member.
13.6 Appeal.
If Wanaut takes any of the decisions defined in Article 13, you may appeal that decision by contacting our customer service.
14. Changes to these Conditions.
Wanaut may modify these Conditions at any time. When we make changes to these Conditions, we will publish the updated Conditions on the Wanaut Platform and update the "last updated" date at the top of these Conditions. We will also send you any material changes by email at least thirty (30) days before their effective date. If you disagree with the revised Conditions, you may immediately terminate the contract, as provided in these Conditions. We will inform you of your right to terminate this contract in the notification email. If you do not terminate your contract before the effective date of the revised Conditions and continue to access or use the Wanaut Platform, you will be deemed to have accepted the revised Conditions.
15. Member accounts.
You must create an account to access and use many features of the Wanaut Platform. Registration is allowed only for legal entities and natural persons aged 18 or older. You represent and warrant that you are not a person or entity prohibited from using the Wanaut Platform under the laws of the Kingdom of Morocco, your address of residence, or any other relevant jurisdiction. It is your responsibility to maintain the confidentiality and security of your account credentials, and you are prohibited from disclosing your credentials to any third party. You must immediately notify Wanaut if you suspect that your credentials have been lost, stolen, or your account is otherwise compromised. You are responsible for all activities conducted with your Wanaut account, unless you did not authorize those activities and were not otherwise negligent (for example, by failing to report unauthorized use or loss of your credentials). If applicable law permits, we may, but have no obligation to, (i) ask you to provide identification or other information, (ii) undertake verifications to help check your identity or background, (iii) compare you against third-party databases or other sources and request reports from service providers, and (iv) obtain reports from public criminal conviction records or sex offender registries or their local equivalents.
16. Disclaimer.
We do not endorse or guarantee the existence, conduct, performance, safety, quality, legality, or suitability of any Individual, Professional, Professional Service, Listing, or third party. Verification of users on the Internet is difficult, and we do not guarantee that verifications, identity checks, or background checks conducted on Members (if any) will identify past failings or prevent future ones. All references to a "verified" Member (or any similar term) only mean that the Member has undergone an appropriate verification or identification process, and nothing more. We are not responsible for outages or failures of the Internet or telecommunications infrastructure beyond our control that may lead to interruptions in the accessibility of the Wanaut Platform. Wanaut may, temporarily and taking into account the legitimate interests of Members (for example, by giving prior notice), limit the availability of the Wanaut Platform or certain features of the Wanaut Platform if this is necessary due to limited capacity, to preserve the security or integrity of our servers, or to carry out maintenance operations to ensure the proper functioning or to improve the functioning of the Wanaut Platform.
17. Liability.
Wanaut may be held liable under applicable legal provisions in cases of intentional and gross fault committed by us, our legal representatives, directors, or agents. The same applies to the assumption of guarantees or any other strict liability or in cases of injury to life, physical integrity, or health. In cases of breaches of contractual obligations committed by us, our legal representatives, directors, or agents, Wanaut's liability is limited to the foreseeable typical damages that may occur.
18. Indemnification.
To the maximum extent permitted by applicable law, you agree to release, defend (at Wanaut's option), indemnify, and hold Wanaut harmless from all claims, liabilities, damages, losses, and expenses arising from or in connection with: (i) your violation of these Conditions (including any supplementary or additional conditions that apply to a product or feature and that would have been presented to you before you access it) or our Policies or Standards, (ii) your inappropriate use of the Wanaut Platform, (iii) your interaction with any Member, accommodation stay, participation in an Experience or other Professional Service, including but not limited to any injury, loss, or damage (compensatory, direct, incidental, consequential, or otherwise) of any kind arising in connection with or as a result of such a Listing, stay, participation, or use, (iv) your failure, or our failure at your instructions, to accurately declare, collect, or remit taxes, or (v) your violation of any law, regulation, or third-party rights such as intellectual property or privacy rights. This indemnification obligation only applies if, and to the extent that, the claims, liabilities, damages, losses, and expenses were actually caused by your culpable breach of a contractual obligation.
19. Third-party services.
The Wanaut Platform may contain links to third-party websites, applications, services, or resources ("Third-Party Services") that are subject to different terms and privacy practices. Wanaut is not responsible for any aspect of these Third-Party Services and links to such Third-Party Services do not constitute an endorsement.
